Manager Section 2 (53)
Role and Responsibilities:
1. Operational Management:
The Manager is responsible for overseeing the daily operations of the company, ensuring efficient business processes, and implementing strategies as directed by the Board of Directors.
They play a key role in executing business plans, achieving operational goals, and optimizing resource utilization to enhance productivity and profitability.
2. Decision-Making:
Managers make operational decisions within the framework of policies and directives established by the Board of Directors.
They may have authority over functional areas such as production, marketing, finance, human resources, and administration.
Decisions made by the Manager should align with the company’s overall objectives, regulatory compliance, and corporate governance norms.
3. Reporting and Communication:
The Manager communicates regularly with the Board of Directors, providing updates on operational performance, strategic initiatives, and significant developments impacting the company’s business operations.
They ensure timely reporting of financial and operational information, adherence to reporting requirements, and transparency in communication with stakeholders.
4. Compliance and Governance:
Managers ensure compliance with legal and regulatory requirements applicable to the company’s operations, including labor laws, environmental regulations, taxation, and corporate governance standards.
They collaborate with legal counsel, compliance officers, and internal audit teams to mitigate risks, address compliance issues, and uphold corporate ethics.
Legal Framework:
1. Companies Act, 2013:
While the Act primarily defines roles such as Directors, Key Managerial Personnel (KMP), and officers, it does not explicitly define the role of a Manager.
The appointment, roles, and responsibilities of Managers are typically governed by the company’s Articles of Association (AoA) and internal policies approved by the Board of Directors.
2. Board Oversight:
Managers operate under the supervision and guidance of the Board of Directors, who delegate authority and monitor performance to ensure alignment with strategic objectives and shareholder interests.
