The Ministry of Corporate Affairs (MCA) has introduced the form DIR- 3 KYC to update the KYC of Directors of a company. DIR - 3 KYC is a form that must be filled out by every Director who has been assigned a Director Identification Number (DIN). Each director who carries a DIN must file the KYC form to keep the Registrar of Companies (ROC) records up-to-date with the address, phone number, and email address of the Directors.

A Director Identification Number is an exclusive identification number assigned to a person who wishes to become or is already a Director of a company. According to the MCA, all Directors with a DIN must submit their KYC details in e-form DIR- 3 KYC on an annual basis.

According to MCA notification, every individual who has been assigned a DIN as of the 31st March of a fiscal year must submit his KYC on or before the 30th September of the following fiscal year.

Who should file DIR - 3 KYC?

According to the announcement by MCA, the KYC details should be submitted by the Directors of a company to the MCA in the following case:

  • Every Director who has received DIN by the end of the fiscal year should submit the KYC.
  • Every Director whose DIN status is either approved or disqualified must submit KYC.

Documents needed to file DIR - 3 KYC

When submitting the KYC e-form, the Director must provide their mobile phone number and email address. A One-Time-Password will be used to validate this information. Directors must use their Digital Signatures to submit the e-form. The following documents are required for filing the DIR - 3 KYC form:

  • Email ID
  • Phone Number
  • PAN card
  • Aadhaar card
  • Voter’s ID card
  • Passport
  • Driving license
  • Electricity bill
  • Bank statement
  • Photograph of the Director in passport size
  • Director’s Digital Signature
  • E-form should be certified by a CA, CS, or MCA

DIR - 3 KYC must be filed annually. The deadline for submitting the form is September 30th. Filing e-form DIR-3 KYC can be done in the following way: • The applicant must download the KYC form from the official website of MCA. • In the KYC form, the director must provide their DIN. • The applicant must fill out the DIR- 3 KYC form with the necessary information. • The candidate must upload the necessary documentation. • The applicant must attach their Digital Signature. • After double-checking the information, the 'Submit' button is to be clicked. • An SRN will be generated upon successful submission of the e-form. • An email will be sent to the applicant's personal email address confirming receipt of the form. • Filing e-form DIR-3 KYC is complete after the approval email is received. The Director should file the e-form on or before 30th September. If the form is not submitted on or before the due date, the following will occur: • If the e-form is not filed by the stipulated date, the Ministry would levy a penalty of Rs. 5,000 on the Director. • The DIN of the Director will be deactivated if the KYC is not submitted on time. Directors whose DIN has been deactivated owing to non-submission of the KYC can reactivate it by paying late filing fees. So, the Directors must ensure that the KYC is filed on time to avoid deactivation of the DIN and a penalty.
