Companies Act, Section 409: Qualifications of the President and Members of the National Company Law Tribunal (NCLT)

Section 409 of the Companies Act, 2013 sets out the essential eligibility criteria for individuals who can be appointed as the President, Judicial Members, and Technical Members of the National Company Law Tribunal (NCLT). 

Since NCLT handles complex and sensitive matters relating to corporate law, insolvency, restructuring, and shareholder rights, this section ensures that only highly competent and experienced professionals are selected to serve as adjudicators.

1. Qualifications for the President of NCLT

The individual must be a person who is or has been a Judge of a High Court, and must have served as a High Court Judge for at least five years

This requirement ensures that the President has strong judicial leadership experience and deep knowledge of legal processes, enabling effective supervision of Tribunal operations and fair adjudication over corporate disputes.

2. Qualifications for Judicial Members

A person may be appointed as a Judicial Member of NCLT only if they meet one of the following conditions:

They are or have been a Judge of a High Court, or they are or have been a District Judge for a minimum of five years, or they have been an advocate practicing in a court for at least ten years

The section also contains an explanation that expands the meaning of this experience. When calculating the ten years of advocacy:

Any period during which the person held a judicial office, or served as a member of a tribunal, or held any government post requiring special legal knowledge after becoming an advocate, must also be included in the total period.

This ensures recognition of diverse legal experience beyond traditional court practice.

3. Qualifications for Technical Members

A Technical Member is required to possess significant industry and professional expertise. To qualify for this position, an individual must satisfy at least one of the following:

They have served for not less than fifteen years in the Indian Corporate Law Service or Indian Legal Service, and have held the rank of Secretary or Additional Secretary to the Government of India.

They have practiced as a Chartered Accountant for a minimum of fifteen years.

They have practiced as a Cost Accountant for fifteen years or more. They have practiced as a Company Secretary for fifteen years or more.

They are a person of proven ability, integrity, and professional standing with at least fifteen years of special knowledge and experience in areas such as:

Industrial finance, Industrial management, Industrial reconstruction, Investment, Accountancy, or other related fields.

They have served for at least five years as a Presiding Officer of a Labour Court or Tribunal established under the Industrial Disputes Act, 1947.

This ensures that Technical Members bring real-world understanding of business functioning, financial structure, and economic decision-making to Tribunal proceedings.
