Companies Act, Section 452: Punishment for Wrongful Withholding of Company Property
Section 452 of the Companies Act, 2013 is designed to prevent misuse or wrongful retention of company assets by officers or employees.
It ensures that individuals entrusted with the company’s property whether cash, equipment, or any valuable asset handle it responsibly and only for authorized purposes.
Any dishonest behavior involving such property is treated as a punishable offence. This provision protects the financial integrity of the company and safeguards stakeholders’ interests.
1. Offences Covered
An officer or employee of a company commits an offence under this section if they:
a) Wrongfully obtain possession of any company property, including cash. This means taking control of company assets without proper permission or authority.
b) Wrongfully withhold company property or knowingly misuse it
Even if the property was initially in their possession lawfully. Using that property for any purpose other than:
What is stated in the company’s Articles of Association. What is allowed or authorized under the Companies Act.
This provision prevents internal misuse of company assets by persons in trusted positions.
2. Who Can Make a Complaint?
A complaint under this section may be filed by:
The company itself, or A member (shareholder), or A creditor, or A contributory (person liable to contribute to company’s assets during liquidation).
This ensures that multiple stakeholders have the right to act against wrongful conduct.
3. Penalty for the Wrongful Act
The offender shall be punishable with:
A fine of not less than ?1,00,000, which may extend up to ?5,00,000. This financial punishment reflects the seriousness of internal financial misconduct.
4. Additional Court Powers
The officer or employee to return or refund:
The wrongfully obtained property or cash, any benefits or profits earned from such property. The Court will set a specific time for compliance.
If the person fails to comply with the court’s order:
They may be sentenced to imprisonment up to 2 years. This ensures that offenders not only face punishment but also restore the company’s assets.
5. Protection in Special Circumstances
The Court shall not order imprisonment if:
The property wrongfully withheld is a dwelling unit (residence), and the Court is satisfied that the company has not paid the officer/employee:
a) Provident Fund / Pension Fund / Gratuity Fund or any employee welfare fund dues.
b) Compensation due under the Workmen’s Compensation Act, 1923 relating to death or disability.
This protects employees who may be retaining housing due to unpaid statutory dues owed by the company.
