Contract Act, Section 35: When Contracts Become Void or Enforceable if Contingent Upon the Happening or Non-Happening of a Specified Event Within a Fixed Time

Section 35 of the Indian Contract Act, 1872 governs contingent contracts that depend upon the happening or non-happening of an uncertain event within a fixed period of time, determining when such contracts become enforceable or void.

Where the event does not occur within the prescribed time or becomes impossible, the contract becomes void, while contracts dependent on the non-happening of the event become enforceable when the time expires or it becomes certain that the event will not occur.

1. Purpose of Section 35

The primary objective of Section 35 is to regulate contingent contracts where performance depends upon an uncertain event occurring or not occurring within a specified period.

The provision provides certainty by determining when such contracts become enforceable or void, preventing indefinite uncertainty regarding the rights and obligations of the parties.

2. Nature of Contracts Covered by Section 35

Section 35 applies only to contingent contracts that depend on a specified uncertain future event and prescribe a fixed period within which that event must either occur or not occur.

3. Contingent Contracts Depending Upon the Happening of an Event

The first part of Section 35 deals with contingent contracts whose performance depends upon the occurrence of a specified uncertain event within a fixed period.

The contractual obligation arises only if the event occurs before the expiry of the agreed time, making the time limit an essential part of the contingency.

4. Effect of Expiry of the Specified Time

Where the specified event fails to occur before the expiry of the prescribed period, the contingent contract automatically becomes void.

Since the agreed condition is not fulfilled within the stipulated time, the foundation of the contract disappears and no enforceable rights or obligations remain.

5. Effect of Impossibility Before Expiry of Time

Section 35 further provides that a contingent contract becomes void even before the expiry of the fixed period if the specified event becomes impossible.

Once it is certain that the event cannot occur within the prescribed time, the contract immediately becomes void because the agreed contingency can no longer be fulfilled.

6. Contingent Contracts Depending Upon Non-Happening of an Event

The second part of Section 35 deals with contingent contracts whose performance depends upon a specified uncertain event not happening within a fixed period.

The contract remains conditional until the prescribed time expires without the event occurring, as the parties agree that obligations arise only if the event does not happen within that period.

7. Enforcement After Expiry of Time

Where the prescribed period expires and the specified event has not occurred, the contingent contract becomes enforceable.

Since the agreed condition has been fulfilled by the non-occurrence of the event within the stipulated time, the parties acquire the legal right to enforce the contract.

8. Enforcement Before Expiry Where Non-Happening Becomes Certain

Section 35 provides that a contingent contract becomes enforceable before the expiry of the fixed period if it becomes certain that the specified event will never occur, as the contingency is then conclusively resolved.

9. Importance of the Fixed Time Limit

A distinguishing feature of Section 35 is that the parties prescribe a fixed time for the contingency, providing certainty as to when contractual rights and obligations will arise or come to an end.
