Contract Act, Section 62: Effect of Novation, Rescission, and Alteration of Contract
Section 62 of the Indian Contract Act, 1872 provides for the discharge of a contract by mutual agreement through novation, rescission, or alteration, recognizing the freedom of parties to modify their contractual obligations.
When parties mutually agree to substitute, cancel, or alter an existing contract, the original contract ceases to bind them and need not be performed, reflecting the principle of contractual consent.
1. Purpose of Section 62
The primary objective of Section 62 is to provide a legal mechanism for discharging contractual obligations through the mutual agreement of the contracting parties.
The provision enables parties to adapt their contractual relationships to changing circumstances by replacing, modifying, or cancelling existing agreements without requiring performance of the original contract.
2. Principle of Mutual Consent
Section 62 is based on the principle that contracts are created by mutual consent and may also be discharged, substituted, rescinded, or altered by mutual agreement.
Neither party can unilaterally modify the contractual relationship under this provision, as the consent of all concerned parties is essential.
3. Meaning of Novation
Novation refers to the substitution of an existing contract with a new contract, where the new agreement replaces the original contract between the parties.
Once novation takes place, the rights and obligations under the original contract are extinguished, and the parties become bound by the terms of the new agreement.
4. Essentials of Novation
For a valid novation, there must be a previously existing and valid contract, a mutually agreed new contract, and an intention that the new agreement shall replace the earlier one.
The original contract is discharged only when the parties clearly intend that the substituted agreement shall take its place.
5. Meaning of Rescission
Rescission means the mutual cancellation or termination of a contract where both parties agree to end their contractual relationship.
Once a contract is rescinded, neither party remains bound to perform obligations under the original agreement, subject to any rights that have already accrued.
6. Meaning of Alteration
Alteration refers to the modification of one or more terms of an existing contract by mutual agreement between the parties without replacing the entire agreement.
Unlike novation, the original contract continues to exist in an altered form, with only the agreed terms modified while the remaining provisions remain effective.
7. Effect on the Original Contract
Section 62 provides that once the parties validly agree to substitute, rescind, or alter a contract, the original contract is discharged and need not be performed, as the parties have mutually modified their contractual obligations.
8. Mutual Agreement Is Essential
A fundamental requirement under Section 62 is that substitution, rescission, or alteration of a contract must be based on the free and mutual consent of the parties, as unilateral modification or cancellation has no legal effect.
9. Discharge by Agreement
Section 62 illustrates a recognized mode of discharge of contract where the parties mutually agree to replace, modify, or terminate the contract instead of ending it through performance, impossibility, breach, or operation of law.
