Contract Act, Section 65

Contract Act, Section 65: Obligation of a Person Who Has Received an Advantage Under a Void Agreement or a Contract That Becomes Void

Section 65 of the Indian Contract Act, 1872 governs the obligation to restore benefits received under a void agreement or a contract that subsequently becomes void, preventing any person from retaining an unjust advantage.

The section requires restoration or compensation for benefits received under such agreements or contracts, embodying the principle of restitution and seeking to restore the parties to their original positions as far as possible.

1. Purpose of Section 65

The primary objective of Section 65 is to prevent unjust enrichment where benefits have been received under an agreement that is void or under a contract that subsequently becomes void.

The provision ensures that parties do not unfairly retain money, property, or other advantages when the legal basis for retaining those benefits has ceased to exist.

2. Applicability of Section 65

Section 65 applies in two distinct situations: where an agreement is discovered to be void and where a valid contract subsequently becomes void due to supervening circumstances.

In both situations, the section creates a legal obligation to restore the benefits received, ensuring that the parties are placed in their original position as far as possible.

3. Agreement Discovered to Be Void

The first part of Section 65 deals with agreements that are later discovered to have been void from the beginning, even though the parties may have believed them to be valid.

Once the invalidity of such an agreement is discovered, any advantage received under it must be restored or compensated for in accordance with the provisions of the section.

4. Contract Becoming Void

The second part of Section 65 applies where a valid contract subsequently becomes void due to supervening impossibility, subsequent illegality, frustration, or other circumstances recognized by law.

Although the obligation to perform ends when the contract becomes void, the parties remain legally required to restore any benefits already received under the contract.

5. Meaning of Advantage

The expression advantage under Section 65 has a broad scope and includes money, property, goods, services, valuable rights, or any other benefit received under the agreement or contract.

The obligation to restore applies to every type of benefit obtained by a party, irrespective of the nature or form of the advantage received.

6. Duty to Restore the Benefit

A person who has received an advantage under a void agreement or a contract that becomes void is legally obligated to restore that benefit to the person from whom it was received.

Where direct restoration is possible, Section 65 requires the advantage itself to be returned, thereby restoring the parties to their original positions as far as possible.

7. Compensation Where Restoration Is Not Possible

Where actual restoration of a benefit is not possible due to its consumption, transfer, alteration, or other reasons, Section 65 requires the recipient to compensate the other party for its value, thereby fulfilling the obligation of restitution.

8. Principle of Restitution

Section 65 is founded upon the equitable doctrine of restitution, requiring the restoration of benefits received under an agreement or contract that has no legal effect, thereby preventing one party from gaining an unfair advantage.

9. Prevention of Unjust Enrichment

A fundamental principle underlying Section 65 is the prevention of unjust enrichment by requiring a party to restore benefits received when an agreement is discovered to be void or a contract becomes void, thereby maintaining fairness between the parties.
